Criteria for Accredited Investor Status
To be considered an Accredited Investor in the United States, an individual or entity must meet certain criteria set by the Securities and Exchange Commission (SEC). Here are the main requirements:
For Individuals:
1.Income
Must have an annual income of at least $200,000 in each of the last two years, or a joint income with a spouse of at least $300,000 in those years, and have a reasonable expectation of reaching the same income level in the current year.
2.Net Worth
Must have a net worth exceeding $1 million, either individually or jointly with a spouse, excluding the value of the primary residence.
3.Professional Credentials
Certain professionals, such as registered brokers or investment advisors, may also qualify based on their professional status.
For Entities:
1. Assets
Must have total assets exceeding $5 million, or be a bank, insurance company, registered investment company, business development company, or small business investment company.
2. Ownership by Accredited Investors
If an entity is a trust, partnership, or corporation, it can qualify if all of its equity owners are accredited investors.
